What does it mean to have a Certificate of Good Standing?

Annual filings with Businesses House, the UK registrar of firms, are required by law for all limited companies in the UK. Failure to comply with the law might result in penalties; but, if your firm successfully meets all legal filing requirements, it will be in 'good standing' with Companies House.

You can get a Certificate from Companies House to prove your good standing. This successfully demonstrates that your business complies with all legal standards.

Please notice that, as of June 30, 2016, you will no longer be able to order Certificates of Good Standing containing information on shareholders, shareholdings, or statement of capital information due to amendments to the Small Business Enterprise and Employment Act.

The Certificate will include the following information:

• Incorporation date
• Name of the director(s) (s)
• Name of the company secretary (if relevant)
• Address of the company's registered office (if relevant)
• Check to see if the company is up to date on filing obligations.

What is the benefit of having a Certificate of Good Standing?

If you want to create a business bank account or open an overseas branch of an existing UK-based limited company, you may need a Certificate of Good Standing. Before investing in your company, potential investors and lenders may ask for a certificate.

When will I receive my Certificate?

Standard and Express are the two ordering choices for a Certificate of Good Standing. If you choose the Standard service, your certificate will be sent in 5 working days. If you need your certificate sooner, you can choose our Express service, which will deliver your certificate within 24 hours. Only orders placed before 1 pm Mon – Fri are eligible for the Express service.
